Terms of Service

These terms explain the core operating rules for Clarity VDR accounts, customer content, confidentiality, acceptable use, and service controls.

Use the room only as authorized.

Each person must use an individual account; shared logins are not permitted.Customers remain responsible for the documents, deal data, investor lists, and instructions they upload or approve.Clarity may process account, billing, support, and activity data to provide the data room, preserve evidence, prevent abuse, and support security review.Confidential materials inside a room may be used only by authorized users for the approved diligence or transaction purpose.The service may suspend new uploads, new share links, or new room creation when billing is inactive, storage is exhausted, or security controls require intervention.

Subscription and account access

Clarity VDR subscriptions provide access to the Clarity Complete service for authorized customer users. Each user must use an individual account, keep credentials confidential, and follow the role, group, and permission decisions made by the Managing Member or authorized Deal Team administrator.

Customer content

Customers retain responsibility for the documents, folders, room instructions, investor lists, Q&A content, signatures, notes, and other materials uploaded to or created in the service. Clarity processes that content to provide secure viewing, permissions, search, previews, exports, audit evidence, support, and closeout workflows.

Confidentiality and permitted use

Materials in a Clarity room are confidential unless the customer states otherwise in writing. Authorized users may use room materials only for the approved diligence, investment, advisory, legal, financing, or transaction purpose connected to the room.

Acceptable use

Users may not attempt to bypass access controls, scrape or bulk extract materials outside permitted workflows, share credentials, introduce malware, interfere with the service, or use Clarity for unlawful content or activity.

Service controls

Clarity may block new uploads, new rooms, external share links, or expansion actions when billing is inactive, storage is exhausted, security checks fail, room status is closed, or the customer requests a legal hold, retention action, or access freeze.
